Public Meeting on Proposed Change in Control and Governance of Queen of the Valley Medical Center

The California Attorney General is reviewing the proposed change in control and governance of St. Joseph Health System, a California nonprofit public benefit corporation, and Providence Health & Services, a Washington nonprofit corporation, as required by Corporations Code section 5920 et seq. St. Joseph Health System controls the nonprofit corporation that owns and operates Queen of the Valley Medical Center. The “Health System Combination Agreement” is between St. Joseph Health System and Providence Health & Services. The Agreement establishes a system wide level of governance of both nonprofit corporations through the creation of a new Washington nonprofit corporation called Providence St. Joseph Health also referred to as NewCo.

The California Attorney General will conduct a public meeting concerning Queen of the Valley Medical Center on April 21, 2016, beginning at 9:00 a.m., at Napa City Hall, 955 School Street, Napa, CA 94559. The purpose of the public meeting is to receive comments on the proposed change in control and governance of each facility and to consider the Health Care Impact Statement prepared by consultants engaged by the California Attorney General in connection with the California Attorney General's review of this proposed transaction, as required by Corporations Code section 5920 et seq. Prior to the public meeting, the Health Care Impact Statement will be available on the California Attorney General's website at http://www.oag.ca.gov/charities/nonprofithosp.

Persons wishing to present their views orally at the public meeting may do so by submitting a sign-up sheet available at the public meeting, by sending an email to scott.chan@doj.ca.gov by April 19, 2016, or by calling Scott Chan (415) 703-5652 by April 19, 2016. Any individual with a disability seeking reasonable accommodations to attend or participate in the public meeting or to obtain materials or information on the public meeting in an alternative format should contact Scott Chan at least five days before the public meeting.

The terms of the proposed transaction are set forth in a written notice to the California Attorney General. A CD of the written notice is available upon request by email to scott.chan@doj.ca.gov or by telephone at (415) 703-5652. A copy of the written notice of the proposed transaction is also available for public inspection at Queen of the Valley Medical Center’s Information Desk, 1000 Trancas St., Napa, CA 94558.

Persons may and are encouraged to present their views on the proposed transaction in writing to the California Attorney General’s Office electronically via email at scott.chan@doj.ca.gov, via facsimile at (415) 703-5480, or by mailing a copy to Scott Chan, Deputy Attorney General at 455 Golden Gate Avenue, Suite 1100, San Francisco, CA 94102. The deadline for receipt of written comments is April 28, 2016.
