The California Attorney General is reviewing the proposed change in control
and governance of St. Joseph Health System, a California nonprofit public
benefit corporation, and Providence Health & Services, a Washington
nonprofit corporation, as required by Corporations Code section 5920
et seq. St. Joseph Health System controls the nonprofit corporation that owns
and operates Queen of the Valley Medical Center. The “Health System
Combination Agreement” is between St. Joseph Health System and Providence
Health & Services. The Agreement establishes a system wide level of
governance of both nonprofit corporations through the creation of a new
Washington nonprofit corporation called Providence St. Joseph Health also
referred to as NewCo.
The California Attorney General will conduct a public meeting concerning
Queen of the Valley Medical Center on April 21, 2016, beginning at 9:00
a.m., at Napa City Hall, 955 School Street, Napa, CA 94559. The purpose
of the public meeting is to receive comments on the proposed change in
control and governance of each facility and to consider the Health Care
Impact Statement prepared by consultants engaged by the California Attorney
General in connection with the California Attorney General's review
of this proposed transaction, as required by Corporations Code section 5920
et seq. Prior to the public meeting, the Health Care Impact Statement will be
available on the California Attorney General's website at http://www.oag.ca.gov/charities/nonprofithosp.
Persons wishing to present their views orally at the public meeting may
do so by submitting a sign-up sheet available at the public meeting, by
sending an email to email@example.com by April 19, 2016, or by calling
